O2X – SEO Tool – End User License Agreement
Version 1.0 · Effective date: 22 October 2026
This End User License Agreement (“Agreement”) is a legal agreement between you (either an individual or the company or other legal entity you represent, “you”) and O2 Digital, of 128 Infirmary Road, Sheffield, South Yorkshire, S6 3DH, United Kingdom (“we”, “us”, “our”), for the O2X – SEO Tool desktop software, including its updates, documentation and the license activation service (together, the “Software”).
By clicking “I agree”, installing, activating or using the Software you accept this Agreement. If you accept it on behalf of a company, you confirm that you have the authority to bind that company. If you do not agree, do not install or use the Software.
1. Availability
The Software is offered and sold only to customers located in the United States of America. By purchasing, you confirm that your billing address is in the United States.
2. License grant
Subject to this Agreement and to payment of the applicable price, we grant you a perpetual (“lifetime”), non-exclusive, non-transferable (except as described in Section 6), non-sublicensable license to install and use the version(s) of the Software covered by your license, in object-code form, for your internal business purposes, including providing services to your own clients:
- Solo license: use on one (1) computer at a time.
- Agency license: use on up to ten (10) computers at a time, by employees and contractors of the purchasing organization, including the white-label features described in Section 9.
“Lifetime” means for as long as you comply with this Agreement; it does not depend on our continued sale of the Software. We retain all rights not expressly granted. The Software is licensed, not sold.
3. Free trial
The Software starts with a free trial of thirty (30) days that includes the features of the Agency license, limited to five (5) crawls, five (5) speed tests and two (2) site migration projects. One trial is available per computer. The trial ends automatically when the period ends or the limits are used; your data stays on your computer, but the features that start new work require a paid license. You may not reset, extend or circumvent the trial (for example by changing the system clock, reinstalling the operating system or using virtual machines for that purpose). The trial is provided “AS IS” and without any warranty.
4. Activation and license verification
Starting the trial and activating a license require an internet connection. The Software then verifies the license with our license server periodically (normally every few days) and keeps working offline for up to thirty (30) days between successful checks. For activation and verification the Software sends: the license key, a one-way cryptographic hash of identifiers of your computer (the Windows installation identifier and the motherboard model – the raw identifiers are not sent), the computer name, the Windows and Software version, your IP address and the usage counters of the trial. This data is used only to provide, secure and enforce the license, as described in our Privacy Policy. The crawl data, projects and reports you create are not sent to us.
5. Updates, renewals and support
- Each license includes twelve (12) months of updates from the date of purchase (the “Update Period”).
- You may use every version released during your Update Period forever, including after the Update Period ends. Versions released after it ends require an update renewal.
- Renewal is optional and never automatic. A renewal costs forty percent (40%) of the then-current list price of your license and extends the Update Period by twelve (12) months from the later of its current end date or the renewal date.
- We are not obliged to release updates of any particular content or frequency. Updates may add, change or remove features, for example to follow changes in search engine documentation.
- Support is provided by email at o2x@seo2agency.com on a reasonable-efforts basis during the Update Period.
6. Moving the license to another computer
You may move a license to another computer by activating it there. For a Solo license the previous computer is deactivated automatically; for an Agency license with all seats in use you choose which computer is replaced. You may also deactivate a computer from the Software. To prevent key sharing, the number of transfers is limited (currently three (3) per seat in any thirty (30) days); further transfers are available through support. The license may not be transferred to another person or organization without our written consent.
7. Restrictions
You may not, and may not allow anyone to: (a) share, publish, sell, rent, lease, lend or sublicense the license key or the Software; (b) use the Software on more computers than your license allows; (c) bypass, disable or tamper with the activation, license verification or trial limits; (d) reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits it despite this restriction; (e) modify the Software or create derivative works of it; (f) offer the Software itself to third parties as a hosted service; (g) remove or alter proprietary notices, except as allowed by the white-label features; or (h) use the Software in breach of any law.
8. Responsible use
The Software sends requests to websites you choose. You are solely responsible for having the right to crawl and test those websites, for complying with their terms, with applicable laws (including the Computer Fraud and Abuse Act and similar state laws) and for the crawl speed and settings you choose. The Software includes throttling and block-detection safeguards, but you must not use it to overload, attack or gain unauthorized access to any system.
9. White-label (Agency license and trial)
With an Agency license you may present the reports and exports produced by the Software under your own name, logo and brand, and show your brand inside the Software on your computers. You may not claim that you developed the Software or distribute the Software itself. Without the Agency license, HTML and PDF exports include a small credit to the Software.
10. Results are informational
Audit findings, recommendations, structured data templates, robots.txt suggestions, redirect maps and other results are automated and informational. Only a qualified SEO specialist can confirm them for a particular website. We do not guarantee any search engine ranking, indexing, traffic or business result. You are responsible for any change you make to a website.
11. Your data and third-party services
Projects, crawls and reports are stored locally on your computer; you are responsible for backing them up. Optional features may use third-party services (for example Google PageSpeed Insights or Lighthouse), which are subject to their own terms. The Software includes open-source components licensed under their own licenses (such as Apache 2.0, MIT and BSD); those licenses apply to those components and are listed in the third-party notices.
12. Ownership and feedback
We and our licensors own all intellectual property rights in the Software. If you send us suggestions, we may use them without obligation to you.
13. Disclaimer of warranties
To the maximum extent permitted by law, the Software is provided “as is” and “as available”, with all faults and without warranty of any kind. We disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. Some states do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or rankings, however caused, even if advised of their possibility. Our total liability arising out of or relating to the Software or this Agreement will not exceed the amount you paid for the license (or USD 50 if you paid nothing). Some states do not allow these limitations, so they may not apply to you.
15. Indemnity
You will defend, indemnify and hold us harmless from claims by third parties arising from your use of the Software in breach of this Agreement or of applicable law, including claims by owners of websites you crawled or tested.
16. Term and termination
This Agreement remains in effect until terminated. It terminates automatically, and the license may be deactivated, if you breach it, if the purchase is refunded or charged back, or if the payment is reversed. On termination you must stop using the Software and delete it. Sections 7 and 10–20 survive termination.
17. Export control and U.S. government users
You will comply with all applicable export control and sanctions laws and will not use, export or re-export the Software to any embargoed country or restricted person. The Software is “commercial computer software” and “commercial computer software documentation”; U.S. government users acquire it only with the rights set out in this Agreement (FAR 12.212, DFARS 227.7202).
18. Governing law and disputes
This Agreement is governed by the laws of England and Wales, without regard to their conflict-of-laws rules; the United Nations Convention on Contracts for the International Sale of Goods does not apply. Before starting any proceedings, please contact us so that we can try to resolve the matter informally within 30 days. The courts of England and Wales have jurisdiction over any dispute, except that either party may bring an individual claim in a small-claims court where you are located. Nothing in this Agreement removes protections that the law of your state gives you and that cannot be excluded by contract.
19. Purchases
Orders are processed by our online reseller Paddle.com, the Merchant of Record for all orders, which handles payment, sales tax, invoices and refunds under its own buyer terms. The Terms of Sale and the Refund Policy also apply to purchases.
20. General
We may update this Agreement for future versions or purchases; the version you accepted continues to apply to the versions you already licensed unless you accept a new one. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it to a successor of our business. This Agreement, with the documents it references, is the entire agreement about the Software.
